Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

  • Device means any device that can access the Service such as a computer, a cell phone, or a digital tablet.
  • Service refers to the Website.
  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service. This Terms and Conditions agreement has been created with the help of the Terms and Conditions Generator.
  • Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Service.

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Termination
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

Limitation of Liability

Despite any potential damages you might incur, the entire liability of The Cedar Cleaners and any of its suppliers under any provision of these Terms will be limited to the amount actually paid by you through the Service, or 0 CAD if you have not made any purchases.

Under applicable law, neither The Cedar Cleaners nor its suppliers will be liable for any special, incidental, indirect, or consequential damages (including but not limited to damages for loss of profits, data, business interruption, personal injury, or loss of privacy) arising from or in connection with the use or inability to use the Service, third-party software, and/or hardware, even if informed of the possibility of such damages and even if the remedy fails its essential purpose.

Certain jurisdictions do not allow the exclusion of implied warranties or limitations on liability for incidental or consequential damages, meaning some of the above limitations may not apply. In these jurisdictions, liability will be limited to the greatest extent permitted by law.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE,” with all faults and defects and without warranty of any kind. To the fullest extent permitted under applicable law, The Cedar Cleaners disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as warranties arising from course of dealing, performance, or usage in trade. The Cedar Cleaners makes no guarantees that the Service will meet your requirements, achieve any intended results, be compatible with any other software, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free, or that any errors or defects can or will be corrected.

Governing Law

The laws of Ontario, Canada, excluding its conflicts of law rules, govern these Terms and your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

Dispute Resolution

If you have concerns or disputes about the Service, you agree to attempt to resolve the issues informally by contacting The Cedar Cleaners first.

International Compliance

You certify that you are not located in any country under a Canadian or U.S. government embargo or designated as a “terrorist supporting” country, and you are not listed on any Canadian or U.S. government list of prohibited or restricted parties.

Severability and Waiver

If any provision of these Terms is found unenforceable or invalid, that provision will be modified to achieve the intended objectives as much as possible under applicable law, and the remaining provisions will continue in effect. The failure to exercise any right or require performance of an obligation under these Terms does not affect the ability to exercise that right or require such performance at any time thereafter nor does a waiver of a breach constitute a waiver of any subsequent breach.

Revisions to Terms

We may revise these Terms at our discretion and will provide at least 90 days’ notice for any material changes. Your continued use of the Service after such revisions become effective means you agree to the revised terms. If you disagree with the new terms, you should discontinue using the Service.

Use of Photo and Video Material

By requesting a free estimate or signing a contract for services, you grant The Cedar Cleaners the right to use any photographs or video footage taken during the estimate or project. This material may be used on our website, social media platforms, and in various marketing materials to promote our services, unless expressly forbidden by written request from you at the time of service agreement.

This clause ensures that The Cedar Cleaners can utilize visuals from projects for promotional purposes while also providing a clear mechanism for clients to opt out if they choose.

 Provision of Services:

The Cedar Cleaners shall provide all labour, materials (excluding special materials or boom lift rental not included in the quote, which require a 30-40% deposit of the total price), equipment, tools, transportation, and services necessary for and incidental to the execution and completion of a roof cleaning project as specified. Changes in material costs exceeding a 10% increase from the date of this contract to the installation date will be considered significant and may affect the contract price.

2. Scope of Work: Discrepancies or omissions in the Contract Documents, unforeseen site conditions, or work requested beyond the Contract Documents’ scope shall be considered additional to the contract, excluded from the original Contract Price. Additional charges will apply accordingly.

3. Warranties Transfer: The Cedar Cleaners agrees to transfer to the Customer any applicable manufacturer’s or supplier’s warranties concerning materials, products, or systems used in the execution of the project.

4. Change Orders: All changes and deviations from the initially specified work require a written Change Order duly signed by both The Cedar Cleaners and the Customer. The Contract Price will be adjusted to reflect these changes.

5. Payment Terms: Full payment for services rendered is due upon job completion.

6. Contract Acceptance: By accepting this contract, the Customer agrees to the terms, conditions, and prices outlined herein and authorizes The Cedar Cleaners to proceed with the work as specified. Payments shall adhere to the terms specified in this agreement.

7. Additional Provisions:

The Cedar Cleaners are not responsible for internal drain inspections or repairs, and any necessary internal plumbing is not covered. General contractors, realtors, and management companies are responsible for informing the property owner of all terms and conditions herein. For commercial projects, a holdback, if any, is limited to 5% of the total contract value for up to 30 days, with an additional fee of 3% for each 30-day period the holdback remains unpaid.

8. Failure to Pay: If payment is not received within 30 days following job completion, the labor warranty will be void, and a lien may be placed against the property. This includes lien fees, legal costs, and an additional $1,000 for lost time, all accruing interest as specified. Non-payment within 30 days post-completion incurs a monthly interest of 3% (36% per annum). Delays caused by third parties or price fluctuations may lead to a 5% contingency fee on the unpaid balance.

9. Communication and Emergency Procedures: All calls, texts, and video communications may be recorded for quality assurance and shared with third parties if necessary. In emergencies such as blocked drains or significant water pooling, immediate action is recommended; however, hiring a licensed plumber is advised. Changes made to the contract post-signing will not be recognized unless documented by a Cedar Cleaners representative.

10. Additional Fees and Services:

Payments by Visa or MasterCard will incur a 3.5% processing fee, and payments by American Express will incur a 5% fee. The Cedar Cleaners do not provide a Designated Substance Survey (DSS Report); if required, it is to be commissioned prior to the disposal of the old roof at an additional cost of $1,000.

11. Liability and Damage: The Cedar Cleaners will not be liable for damages resulting from blocked drains, issues with the roof membrane, or other incidents occurring during or post-installation, caused by third parties.

These terms are intended to provide clear guidelines and expectations to protect both The Cedar Cleaners and our valued customers. If any part of these terms requires clarification, clients are encouraged to inquire prior to contract agreement. Deposits are non-refundable and signify acceptance of all terms within this contract.
